Terms of Service

These terms govern your access to and use of RisqRadar.

1. Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between DSPLife Collaborative Group ("RisqRadar", "we", "us", or "our") and the organization or individual accessing the RisqRadar service ("you" or "Customer"). By accessing or using the service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. The service

RisqRadar is a governance, risk, and compliance ("GRC") platform that includes cyber risk quantification, audit readiness, vendor and third-party risk, policy and control management, and related workflows. We may update, improve, or modify the service over time. Certain features depend on third-party services or on integrations you choose to configure.

3. Accounts and eligibility

You are responsible for your account credentials and for all activity under your organization's accounts. You must promptly notify us of any unauthorized access. You must provide accurate information and keep it current. You are responsible for configuring roles and access within your organization appropriately.

4. Acceptable use

You agree not to: (a) use the service in violation of applicable law; (b) attempt to gain unauthorized access to the service, other customers' data, or underlying infrastructure; (c) probe, scan, or test the vulnerability of the service except as expressly authorized in writing; (d) interfere with or disrupt the integrity or performance of the service; (e) reverse engineer the service except to the extent permitted by law; or (f) use the service to store or transmit malicious code or unlawful content. Integrations that scan external systems must only be directed at systems you are authorized to assess.

5. Customer data and ownership

As between the parties, you retain all rights to the data you and your users submit to the service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the service. We do not sell Customer Data. Our handling of personal data is described in our Privacy Policy and, where applicable, our Data Processing Addendum.

6. Third-party services and integrations

The service integrates with third-party providers (for example, ticketing, threat-intelligence, and email providers) that you may enable using your own credentials or API keys. Your use of those services is governed by the applicable third party's terms, and data you direct the service to send to them is processed at your direction. We are not responsible for third-party services.

7. Fees

Fees, if any, are set out in an order, subscription, or written agreement between you and us. Unless otherwise stated, fees are non-refundable and exclusive of taxes. We may change fees for future terms with reasonable notice.

8. Confidentiality

Each party may access the other's confidential information. Each party agrees to use the other's confidential information only to perform under these Terms and to protect it with reasonable care. This does not apply to information that is public, independently developed, or lawfully obtained without a duty of confidentiality.

9. Disclaimers

RisqRadar provides risk, compliance, and audit-readiness information and tooling. It does not provide legal, regulatory, audit, accounting, or professional advice, and it does not guarantee compliance with any law, framework, or standard, or the outcome of any audit or examination. Framework and regulatory content is provided for reference and may require subject-matter review before you rely on it. The service is provided "as is" and "as available" to the fullest extent permitted by law, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our aggregate liability arising out of or relating to the service will not exceed the amounts you paid to us for the service in the twelve months preceding the event giving rise to the claim (or, if no fees were paid, one hundred US dollars).

11. Term and termination

These Terms apply while you use the service. Either party may terminate for material breach that remains uncured after reasonable notice. On termination, your right to use the service ends. We will make Customer Data available for export for a limited period as described in our Privacy Policy and Data Processing Addendum, after which we may delete it.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new effective date or by notifying you in-product). Your continued use after the changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Virginia, USA for any dispute not subject to arbitration or otherwise agreed in a signed order.
